Terms of Service

CarrierAgent is a fleet management platform designed for trucking carriers and owner-operators. The service includes trip management, document scanning (OCR), IFTA reporting, expense tracking, equipment management, and an AI-powered fleet assistant. CarrierAgent is operated by HcalLogistics LLC.

• You must provide accurate, current, and complete information when registering.
• You are responsible for maintaining the security of your account credentials.
• Each account belongs to an organization. The account owner controls roles and access for drivers and other team members within that organization.
• You may not share your login credentials or allow others to access your account on your behalf.

You agree not to:

• Use CarrierAgent for any unlawful purpose or in violation of any applicable regulations.
• Upload malicious files, viruses, or any content intended to harm the platform or other users.
• Attempt to access data belonging to another organization.
• Reverse engineer, decompile, or attempt to extract the source code of the platform.
• Scrape, crawl, or use automated tools to extract data beyond normal platform usage.
• Exceed API rate limits or deliberately attempt to degrade platform performance.

You retain full ownership of all data you upload and enter into CarrierAgent — including trip records, documents, fleet data, and financial records. We do not sell your data to third parties. We use your data solely to provide and improve the CarrierAgent service as described in our Privacy Policy.

CarrierAgent uses artificial intelligence for OCR document scanning and the AI fleet assistant. AI-generated results are provided for convenience and efficiency. You should review all AI-extracted data before using it in official filings, invoices, tax reports, or legal documents. CarrierAgent is not liable for errors in AI-generated output.

• CarrierAgent offers a free tier and a Pro tier with additional features.
• Pro subscriptions are billed monthly or annually via Stripe.
• You may cancel your subscription at any time; access continues until the end of the billing period.
• We do not offer partial refunds for unused portions of a billing period.

We target 99.9% uptime but do not guarantee uninterrupted availability. Scheduled maintenance, infrastructure incidents, or third-party service outages may temporarily affect access. We are not liable for losses resulting from service unavailability.

To the maximum extent permitted by law, CarrierAgent's total liability to you for any claim arising out of or related to these Terms or the service shall not exceed the total amount you paid to CarrierAgent in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

You agree to indemnify, defend, and hold harmless HcalLogistics LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the platform, your data, or your violation of these Terms.

CarrierAgent, including its name, logo, design, and software, is the intellectual property of HcalLogistics LLC. You may not use our branding, trademarks, or proprietary content without written permission. Nothing in these Terms grants you ownership of CarrierAgent intellectual property.

• We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the platform.
• You may delete your account at any time from the platform settings. Upon deletion, your data will be permanently removed within 30 days.

We may update these Terms from time to time. When we make material changes, we will notify you by email or via an in-app notification. Continued use of CarrierAgent after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Marion County, Indiana.
